These Terms & Conditions (“Terms”) govern your access to and use of the HotSaus web application, related websites, and any associated services (collectively, the “App”).

1. Acceptance of These Terms

These Terms & Conditions (“Terms”) govern your access to and use of the HotSaus web application, related websites, and any associated services (collectively, the “App”). By creating an account, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Definitions

“Account” means your user account for the App.
“Cash Back” means amounts you may earn and redeem through the App, including General Cash Back and Offer Cash Back.
“General Cash Back” means a standard cash back reward tied to qualifying peer-to-peer transactions between a user and a merchant.
“Offer Cash Back” means promotional cash back associated with specific merchant offers with varying requirements.
“Merchant” means a business or seller that provides goods or services to you.
“Peer-to-Peer Platform” or “P2P Platform” means payment services such as Zelle, Venmo, Cash App, or similar platforms.
“Qualifying Transaction” means a transaction that meets the applicable requirements for General Cash Back or Offer Cash Back (as applicable).
“Redeem” or “Redemption” means the process by which earned Cash Back is converted into a payout to you, subject to these Terms.
“You”/“your” means the person using the App.

3. Eligibility and Account Registration

You may use the App only if you are legally able to enter into these Terms under applicable law. You agree to provide accurate, current, and complete information and to keep your Account information up to date. You are responsible for all activity conducted through your Account.

4. No Affiliation with P2P Platforms or Merchants

The App is not affiliated with, endorsed by, or sponsored by any P2P Platform or any merchant unless expressly stated by us in writing. P2P Platforms and merchants are third parties; their terms and policies govern your use of their services.

5. Cash Back Programs Overview

The App may offer multiple cash back programs, including:

General Cash Back (standard cash back tied to qualifying P2P transactions with merchants); and
Offer Cash Back (weekly merchant offers with merchant-specific requirements and reward amounts).

Cash Back availability, eligibility, and requirements may vary by user, merchant, location, time, and other factors.

6. General Cash Back: Eligibility, Amounts, and Limits

6.1 Qualifying Requirements

A transaction may qualify for General Cash Back if it satisfies all of the following:

The transaction is completed on a P2P Platform (e.g., Zelle, Venmo, Cash App or similar);
The transaction is between you and a Merchant for a bona fide purchase of goods and/or services (not a personal transfer);
The transaction amount is at least $5.00 USD (exclusive of any P2P fees, tips, or adjustments as determined by us); and
The transaction is submitted and verified in accordance with the App’s instructions and any verification steps.

6.2 Reward Amount

For each Qualifying Transaction for General Cash Back, you may be eligible to redeem $2.00 USD per transaction.

6.3 Monthly Limit

General Cash Back is limited to five (5) redemptions per calendar month per user, regardless of the number of transactions performed.

6.4 Additional Restrictions

We may, in our discretion, exclude transactions that we determine (acting reasonably) are not merchant purchases or are otherwise ineligible, including transactions that appear to be:

personal transfers,
refunds or reversals,
split payments designed to increase Cash Back,
duplicate submissions,
test transactions, or
transactions associated with suspected fraud or abuse.

7. Offer Cash Back: Weekly Merchant Offers

7.1 Offers and Requirements

The App may present weekly (or otherwise periodic) offers from merchants (“Offers”). Each Offer may specify, among other things:

the cash back amount (fixed or variable),
qualifying purchase type(s),
minimum spend requirements,
eligible payment method or P2P Platform requirements,
redemption limits (per user/per week/per offer),
start and end dates, and
any required proof of purchase or verification steps.

7.2 Offer Controls

If an Offer’s terms conflict with these Terms, the Offer’s terms control for that Offer only.

7.3 Offer Availability

Offers may be limited, may vary by user, and may be modified, paused, or discontinued at any time. We do not guarantee that any Offer will be available, honored by a merchant, or redeemable by you.

8. Redemption, Review, and Payout Timing

8.1 Redemption Process

To redeem Cash Back, you must follow the App’s redemption instructions, which may require you to provide transaction details and/or supporting information.

8.2 Review Period and Timing

All Cash Back redemptions are subject to a review period for verification and compliance purposes. If approved, you will generally receive redeemed Cash Back within approximately 24 to 72 hours after you submit a redemption request (or after we determine a transaction is eligible), although timing may vary due to review needs, payment processing, banking/payment rail delays, or technical issues.

8.3 Conditions to Payout

We may delay, withhold, adjust, or deny Cash Back (including after submission) if we believe, in our reasonable discretion, that:

the transaction is not a Qualifying Transaction,
the submission is incomplete or inaccurate,
the transaction is reversed, refunded, disputed, or charged back,
the redemption exceeds applicable limits,
there is suspected fraud, misuse, or violation of these Terms, or
required verification cannot be completed.

8.4 No Guaranteed Earnings

Cash Back is not guaranteed. Eligibility depends on meeting requirements and successful verification.

9. User Responsibilities

You agree to:

use the App only for lawful purposes;
provide accurate transaction information;
maintain the confidentiality of your Account credentials;
promptly notify us of unauthorized use of your Account; and
comply with these Terms and any additional rules shown in the App.

10. Prohibited Conduct

You may not:

attempt to manipulate the Cash Back programs (including by splitting transactions, submitting false information, or creating multiple accounts to evade limits);
use bots, scraping, or automated means to access the App without our permission;
interfere with the App’s operation or security;
submit transactions that are not genuine merchant purchases; or
engage in fraudulent, abusive, or deceptive conduct.

11. Beta Testing Terms

11.1 Beta Features

Some or all of the App may be offered as a beta, pilot, early access, or test version (“Beta”). Beta features may be labeled as such or may otherwise be identified in the App.

11.2 “As-Is” Nature of Beta

BETA FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND MAY CONTAIN BUGS, ERRORS, OR INACCURACIES. BETA FEATURES MAY HAVE LIMITED FUNCTIONALITY AND MAY BE CHANGED, SUSPENDED, OR DISCONTINUED AT ANY TIME WITHOUT NOTICE.

11.3 Data, Availability, and Continuity

During Beta, you acknowledge and agree that:

features may not work as intended;
transaction matching, verification, and payout timing may be delayed;
data may be lost, corrupted, duplicated, or not processed; and
we are not obligated to continue offering Beta features or any aspect of the App.

11.4 Feedback

If you provide suggestions, ideas, or feedback (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose, without compensation to you.

11.5 Participation and Removal

We may suspend or terminate your participation in Beta at any time for any reason, including to protect the App, other users, or our operations.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL CASH BACK PROGRAMS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CASH BACK WILL BE AVAILABLE OR PAYABLE FOR ANY PARTICULAR TRANSACTION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP OR ANY CASH BACK PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE TOTAL CASH BACK AMOUNTS PAID TO YOU THROUGH THE APP IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE…
